1. Agreement to Terms

By accessing or using Estimero's website, services, or platform (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Service.

Estimero, Inc. ("Estimero," "we," "us," or "our") provides a platform connecting homeowners with local contractors and offering cost estimation tools for home improvement projects.

2. Use of Service

2.1 Eligibility

You must be at least 18 years old to use our Service. By using our Service, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

2.2 Account Registration

3. Contractor Listings and Connections

3.1 Platform Nature

Estimero is a platform that connects homeowners with contractors. We do not employ contractors, and contractors listed on our platform are independent businesses. Estimero is not a party to any agreements between homeowners and contractors.

3.2 Contractor Verification

While we may verify certain contractor information (such as licensing status where available), we do not guarantee the quality, reliability, or performance of any contractor. "Verified" badges indicate only that we have confirmed certain information provided by the contractor.

3.3 Due Diligence

You are responsible for conducting your own due diligence before hiring any contractor, including:

• Verifying licenses, insurance, and credentials
• Checking references and reviews
• Obtaining multiple quotes
• Reading and understanding all contracts before signing
• Ensuring compliance with local building codes and permit requirements

4. Cost Calculators and Estimates

4.1 Estimation Purpose

Our cost calculators and estimates are provided for informational purposes only. Actual costs may vary significantly based on:

• Your specific location and local market conditions
• Project complexity and specific requirements
• Material selections and availability
• Contractor rates and availability
• Seasonal factors and timing
• Unforeseen issues or complications

4.2 No Guarantee

Estimero does not guarantee the accuracy of any cost estimate or calculation. You should obtain formal quotes from licensed contractors for accurate pricing.

5. User Content and Reviews

5.1 Your Content

You may be able to post reviews, ratings, photos, or other content ("User Content"). You retain ownership of your User Content but grant Estimero a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display your User Content in connection with the Service.

5.2 Content Standards

Your User Content must:

• Be truthful and based on your actual experience
• Not contain false, misleading, or defamatory statements
• Not violate any third-party rights
• Not contain offensive, inappropriate, or illegal content
• Comply with all applicable laws and regulations

5.3 Moderation Rights

We reserve the right to remove, edit, or refuse to publish any User Content that violates these Terms or is otherwise objectionable, without prior notice.

6. Intellectual Property

The Service, including its design, functionality, text, graphics, logos, and software, is owned by Estimero and protected by copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or exploit any part of the Service without our express written permission.

7. Disclaimers and Limitations of Liability

7.1 Service "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

7.2 No Warranty

Estimero does not warrant that:

• The Service will be uninterrupted, timely, secure, or error-free
• Information provided through the Service will be accurate or reliable
• Defects will be corrected
• The Service is free of viruses or harmful components

7.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ESTIMERO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, WHETHER IN CONTRACT, TORT, OR OTHERWISE, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS RELATED TO THE SERVICE SHALL NOT EXCEED $100 OR THE AMOUNT YOU PAID TO ESTIMERO IN THE PAST 12 MONTHS, WHICHEVER IS GREATER.

8. Indemnification

You agree to indemnify, defend, and hold harmless Estimero, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Your User Content
• Your interactions with contractors or other users

9. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Service, you consent to our privacy practices as described in the Privacy Policy.

10. Termination

We may suspend or terminate your access to the Service at any time, for any reason, including if we believe you have violated these Terms. Upon termination, your right to use the Service will immediately cease.

Sections of these Terms that by their nature should survive termination will survive, including ownership provisions, warranty disclaimers, and limitations of liability.

11. Dispute Resolution

11.1 Informal Resolution

Before filing a claim, you agree to contact us at support@estimero.com and attempt to resolve the dispute informally.

11.2 Governing Law

These Terms are governed by the laws of the State of Texas, United States, without regard to conflict of law principles.

11.3 Arbitration

Any disputes that cannot be resolved informally will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, rather than in court, except where prohibited by law.

12. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms.

13. General Provisions

13.1 Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Estimero regarding the Service.

13.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

13.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

13.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms at any time without restriction.
